Terms of Service

These Terms of Service ("Terms") govern your access to and use of SC Tracker (the "Service"), provided by Stanley Holdings Limited, trading as Thanthwe Technologies ("Thanthwe", "we", "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. The Service

SC Tracker is a supply-chain fraud-prevention and chain-of-custody platform. We grant you a non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms and your subscription plan.

2. Accounts

• You must provide accurate registration information and keep it current.
• You are responsible for safeguarding your credentials and for all activity under your account.
• You must notify us promptly of any unauthorised use at legal@thanthwe.africa.

3. Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to facilitate fraud.
• Enter false, misleading, or fraudulent records into the chain of custody.
• Attempt to tamper with, reverse-engineer, or circumvent the audit ledger or security controls.
• Access the Service through unauthorised means or interfere with its operation.
• Upload malicious code or content that infringes the rights of others.

4. Your data and content

You retain ownership of the data and content you submit ("Customer Data"). You grant us a licence to process Customer Data solely to provide and improve the Service. You are responsible for the accuracy and legality of Customer Data and for obtaining any consents required from third parties (including counterparties whose details you record).

5. Off-system counterparties

Where you record handovers involving counterparties who are not users of the Service, you represent that you have a lawful basis to record their information (including photo evidence, phone number, and location) and that you have informed them where required by law.

6. Fees and payment

Paid plans are billed in advance per your selected plan. Prices are USD-denominated and may be billed in Malawi Kwacha or USD. Fees are non-refundable except where required by law. We may change pricing with reasonable notice.

7. Service availability

We strive for high availability but do not guarantee that the Service will be uninterrupted or error-free. We may modify, suspend, or discontinue features with reasonable notice.

8. No warranty on legal outcomes

The Service provides tools to detect anomalies and produce evidence. It does not constitute legal, financial, or insurance advice, and we do not guarantee any particular outcome in a dispute, claim, prosecution, or insurance settlement. Evidence produced by the Service should be reviewed by qualified professionals.

9. Intellectual property

The Service, including its software, design, and the SC Tracker and Thanthwe marks, is owned by Thanthwe Technologies and protected by applicable intellectual-property laws. These Terms grant no rights to our intellectual property except the limited licence to use the Service.

10. Limitation of liability

To the maximum extent permitted by law, Thanthwe Technologies shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill. Our aggregate liability arising out of or relating to the Service shall not exceed the fees you paid in the twelve months preceding the claim.

11. Indemnity

You agree to indemnify and hold Thanthwe Technologies harmless from claims arising out of your breach of these Terms, your Customer Data, or your unlawful use of the Service.

12. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms. Upon termination, your right to use the Service ceases; audit-ledger entries already recorded remain part of the tamper-evident chain.

13. Governing law

These Terms are governed by the laws of the Republic of Malawi. Disputes shall be subject to the exclusive jurisdiction of the courts of Malawi, without prejudice to any mandatory consumer-protection rights you may have in your jurisdiction.

14. Changes to these Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
